These Terms of Use (“Terms”) govern your access and use of the website located at www.saccla.org and any associated content ( together, the "Site"), and any services, products, features, functionality, offers, subscriptions, or event tickets made available on or through the Site (collectively, the “Services”).
Please read these Terms carefully before using the Site using any Services.
YOUR USE OF THE SITE AND SERVICES CONSTITUTES YOUR ACCEPTANCE OF THESE TERMS, AS IT MAY BE AMENDED BY SACCSOCAL FROM TIME TO TIME. IF YOU DO NOT AGREE WITH ALL PROVISIONS HEREIN (INCLUDING ALL DOCUMENTS INCORPORATED BY REFERENCE THEREIN), DO NOT USE THE SACCSOCAL SERVICES.
As used in these Terms, "we," "our," "us" and “SACCSoCal" refers to the Swiss-American Chamber of Commerce in Southern California and all of its respective members, affiliates, subsidiaries, parent company, directors, officers and employees.

These Terms of Use (“Terms”) govern your access and use of the website located at www.saccla.org and any associated content ( together, the "Site"), and any services, products, features, functionality, offers, subscriptions, or event tickets made available on or through the Site (collectively, the “Services”).
Please read these Terms carefully before using the Site using any Services.
YOUR USE OF THE SITE AND SERVICES CONSTITUTES YOUR ACCEPTANCE OF THESE TERMS, AS IT MAY BE AMENDED BY SACCSOCAL FROM TIME TO TIME. IF YOU DO NOT AGREE WITH ALL PROVISIONS HEREIN (INCLUDING ALL DOCUMENTS INCORPORATED BY REFERENCE THEREIN), DO NOT USE THE SACCSOCAL SERVICES.
As used in these Terms, "we," "our," "us" and “SACCSoCal" refers to the Swiss-American Chamber of Commerce in Southern California and all of its respective members, affiliates, subsidiaries, parent company, directors, officers and employees.
- Membership Enrollment
- This site allows you to enroll for two types of memberships. The first one is called “Swiss AMCHAM Corporate Membership”. It is granted and handled by the headquarters in Switzerland, and their respective terms govern this membership.
- The second membership is called “Business Catalyst”, and is offered by SACCSoCal on this Site. Cach membership term runs the calendar year. At the end of each membership term (“Renewal Date”), your membership will automatically be renewed at the same price or the price then in effect. You will receive a reminder notice via email 30 days in advance of your renewal date, confirming your renewal. You understand that you may cancel your membership at any time and up to 14 days prior to the renewal date by emailing [email protected] . If you cancel, you will NOT receive any prorated refunds,you’re your membership will not renew at the next renewal date.
- Links to the Websites
- Neither you nor any other website may link to the Site without the permission of SACCSoCal. In any event, without our express, prior, written permission, it is expressly prohibited to: (a) “deep link” to any page of the Site other than the home page; (b) “frame” the Site or any content or otherwise cause the Site or any content to appear in a window with any other material that does not constitute content; (c) cause the hyperlink to the Site, or the Site or any content, to be displayed in any way that is disparaging to SACCSoCal or any entity that is affiliated or associated with SACCSoCal; or (d) otherwise imply or state that any type of relationship or special arrangements exist with SACCSoCal and any other entity. You agree that you will promptly remove any hyperlink to the Site upon the written request of SACCSoCal. In no event will you use any logo or trademark of SACCSoCal as a hyperlink “button”, or in any other manner, without SACCSoCal’s express written consent.
- Third Party Access
- The Site may contain website links, functionalities as well as advertisements, promotions, products or services of third parties that are not owned or controlled by SACCSoCal (collectively, “Third Party Content”). SACCSoCal does not control or endorse such Third Party Content and is not responsible or liable for such Third Party Content. YOUR USE OF THIRD-PARTY WEBSITES AND RESOURCES IS AT YOUR OWN RISK.
- Intellectual Property Rights
- By using the Site and Services, you acknowledge that, as between you and SACCSoCal, SACCSoCal owns all right, title and interest in any software, code, system, technology, content, product designs, logos, trademarks, text, editorial content, data, formatting, graphs, graphics, user interfaces, visual interfaces, photographs, artwork and computer code, HTML, “look and feel,” software layout, music, sounds, images, software, videos, designs, typefaces and other intellectual property used or embedded in the Product or the Site (the “SACCSoCal IP”). You may not use, display, rent, lease, loan, transfer, assign, sell, copy, reproduce, distribute, download, reverse engineer, frame, scrape or modify any of the SACCSoCal IP or to prepare a derivative work based on the SACCSoCal IP. In connections with your use of the SACCSoCal Services and Site, you will not engage in or use any data mining, robots, scraping or similar data gathering or extraction methods. If you are blocked by SACCSoCal from accessing the Site (including by blocking your IP address), you agree not to implement any measures to circumvent such blocking (e.g., by masking your IP address or using a proxy IP address).
- Provided that you are eligible for use of the Site and the Services, you are granted a limited, revocable, nonsublicensable, nontransferable and non-exclusive right to access and use the IP and the Site solely for your personal, non-commercial use (including to access any disclosures) and subject to the condition that you do not (and do not allow any third party to) copy, modify, create a derivative work from, reverse engineer, reverse assemble, or otherwise attempt to discover any source code, sell, assign, sublicense, grant a security interest in, or otherwise transfer any right in or access to the Site, the Services, or any other content available via the Site or the Services. Any other use of the SACCSoCal IP is strictly prohibited and will terminate the license granted herein. Any rights not expressly granted herein are reserved by SACCSoCal. Nothing in these Terms should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any of SACCSoCal’s logos or other trademarks (“Trademarks”) displayed on the Site or Services, without our prior written permission in each instance.
- Data Ownership and Privacy.
- SACCSoCal may collect certain personal information such as your name, phone number, e-mail address, postal address, and other information so we can provide the SACCSoCal Services. SACCSoCal may also collect information about your Site usage, device information, location information, and web navigational data to enable us to enhance your experience on the Site. In addition, SACCSoCal may also collect various personal information via the mobile application related to your use of the Product. - Submissions
- Any information, communications, or material of any type or nature that you submit to or post on the Site (or to any of our pages on a social media platform or other website) by e-mail, posting, messaging, uploading, downloading, or otherwise (collectively, a “Submission”) is done at your own risk and without any expectation of privacy. SACCSoCal does not own any Submissions provided via the Site. You are fully responsible for all Submissions, which must comply with these Terms. You hereby agree that by inputting/submitting such Submissions, you grant SACCSoCal a nonexclusive, unrestricted, irrevocable, worldwide, sublicenseable, transferable, perpetual, unlimited, assignable, fully paid up and royalty-free right to copy, display, edit, publish, prepare derivative works of, distribute, process, analyze, use and commercialize, in any media known or hereinafter developed, such Submissions (or any content or materials contained therein). You hereby represent and warrant that you have the full legal right to so use such Submissions and that they, and any content or material contained therein, are not confidential or proprietary to any third party, nor are you using it in violation of any law or contractual restriction.
- SACCSoCal neither actively monitors general use of the Site, nor exercises editorial control over any Submissions. However, SACCSoCal does reserve the right to monitor such Submissions or other use at any time as it deems appropriate and to remove any materials that, in SACCSoCal’s sole discretion, may be illegal, may subject SACCSoCal to liability, may violate these Terms, or are, in the sole discretion of SACCSoCal, inconsistent with our purpose for the Site.
- Electronic Communications.
- When you use the Site or Services or send e-mails to us, you are communicating with us electronically. You consent to receive communications from us electronically. We will communicate with you by e-mail or by posting notices on the Site or Services. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. You further agree that any notices provided by us electronically are deemed to be given and received on the date we transmit any such electronic communication as described in these Terms of Use.
- Indemnification and Release
- You agree to release, defend, indemnify and hold harmless SACCSoCal, its parent, subsidiaries and affiliates, and their respective officers, directors, employees, agents, attorneys, successors, and permitted assigns, from all loss, liabilities, damages, costs and expenses (including but not limited to reasonable attorneys’ fees, litigation costs and expenses) (collectively, the "Losses") incurred by us for any claims or actions for any kind or injury (including property damage or personal injury), whether a claim is based on breach of contract, tort, product liability, or breach of warranty, arising directly or indirectly out of or in connection with (a) this Agreement, including the representations and warranties made herein; or (b) your use of the Services, irrespective of whether such Losses arise from a first-party claim between you and SACCSoCal or any claim, demand, lawsuit or other dispute between SACCSoCal and a third party.
- You agree to fully cooperate at your expense as reasonably required by SACCSoCal. SACCSoCal may, at its election, assume the defense and control of any matter for which it is indemnified hereunder. You shall not settle any matter involving SACCSoCal without the consent of SACCSoCal.
- Disclaimers
- Warranty Disclaimer: SACCSOCAL MAKES NO WARRANTY, EXPRESS OR IMPLIED, REGARDING THE SITE OR SERVICES, AND HEREBY DISCLAIMS ALL OTHER WARRANTIES (EXPRESS OR IMPLIED) INCLUDING, BUT NOT LIMITED TO THE IMPLIED INDEMNITIES AND WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. SACCSOCAL DOES NOT REPRESENT OR WARRANT THAT THE SITE OR SERVICES WILL MEET ANY OF YOUR EXPECTATIONS OR REQUIREMENTS OR THAT THE SITE OR SERVICES ARE PROVIDED SECURELY OR WITHOUT ERRORS. THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS AND WE MAKE NO WARRANTIES THAT THE SITE AND SERVICES WILL BE TIMELY, ACCURATE OR AVAILABLE AT ALL TIMES WITHOUT INTERRUPTIONS. THE USE OF THE SITE AND SERVICES IS AT YOUR SOLE DISCRETION AND RISK. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM SACCSOCAL, ABOUT THE SERVICES WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
- Limitation of Liability
- TO THE EXTENT PERMITTED BY APPLICABLE LAW, NEITHER SACCSOCAL NOR YOU SHALL BE LIABLE FOR ANY SPECIAL, PUNITIVE, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL , INCLUDING FOR ANY LOST PROFITS OR LOST DATA, WHETHER ARISING IN AN ACTION FOR BREACH OF CONTRACT, TORT OR ANY OTHER CAUSE OR THEORY OF LIABILITY.
- YOU AGREE AND ACKNOWLEDGE THAT THE TOTAL AMOUNT OF SACCSOCAL’S LIABILITY, IF ANY, FOR ANY AND ALL CLAIMS, CAUSES OF ACTION, LOSSES, DAMAGES, OR JUDGMENTS ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED $500 WITHOUT REGARD TO THE NATURE OF THE CLAIM, LOSSES OR DAMAGES INCURRED. YOU EXPRESSLY UNDERSTAND AND AGREE THAT SACCSOCAL WOULD NOT PROVIDE THE SITE OR SERVICES TO YOU WITHOUT SUCH LIMITATIONS.
- Miscellaneous Provisions
- Modification: We reserve the right to update or modify these Terms at any time, upon notice to you by email, by posting on the Site, or by any other reasonable means in our sole discretion. All Notices will be effectively 30 days from the date of notice.
- Applicable law and venue: Jurisdiction and venue shall reside exclusively in Los Angeles, California. The Agreement is to be construed in accordance with and governed by the laws of California. Any legal action brought by you that arises out of or relates to these Terms must be commenced within one year after the cause of action arises.
- Force Majeure: Neither party shall be liable for any inadequate performance, failure or delay caused by any condition beyond its reasonable control (for example, natural disaster, act of war or terrorism, riot, labor condition, governmental action, and Internet disturbance) relating to the use of this Site or the Services.
- Entire Agreement: This Agreement constitutes the entire understanding between you and SACCSoCal about your use of the Site and Services, and supersedes all prior or contemporaneous oral or written understandings and agreements concerning the subject matter of these Terms.
- Severability: Should any provision of these Terms be held invalid void, or otherwise unenforceable, that provision shall be deleted, but all other provisions shall continue in full force and effect. The severed provision, or portion thereof, shall be reformed to reflect the purpose of the provision as closely as possible.
- Notice: By using the Site or Services, you consent to receiving electronic communications from SACCSoCal. You agree that any notice, agreements, disclosure or other communications that we send to you electronically will satisfy any legal requirements for written communication, including without limitation service of process.
